Terms of Service

Agreement to Terms

By accessing or using Spend.watch ("the Service," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

IMPORTANT: Spend.watch is in private beta. This Service should NOT be your only method of monitoring your finances. You MUST continue to regularly check your bank accounts and credit card statements directly.

Eligibility

To use Spend.watch, you must:

  • Be at least 18 years old
  • Be a resident of the United States
  • Have the legal capacity to enter into this agreement
  • Not be barred from using the Service under applicable law
  • Have been approved from our waitlist during the private beta period

Account Registration

Creating an Account

  • You must provide accurate, current, and complete information
  • You must maintain and update your information
  • You are responsible for maintaining the confidentiality of your password
  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized access

Account Security

  • Choose a strong, unique password
  • Do not share your account credentials
  • Enable two-factor authentication if available
  • Log out after each session on shared devices

Experimental Service - Beta Program

Private Beta Status

Spend.watch is currently in private beta and is still undergoing testing:

  • Access is by invitation only during the beta period
  • Features may change, be added, or removed without notice
  • The Service may be unavailable at times for updates or maintenance
  • We may terminate the beta program at any time
  • No guarantee of service availability or data accuracy

Your Responsibilities as a Beta User

By participating in the beta, you agree to:

  • Continue Direct Monitoring: Regularly check your bank accounts and credit card statements directly with your financial institutions
  • Not Rely Solely on Our Service: Use Spend.watch as a supplementary tool, not a replacement for official bank records
  • Verify All Information: Cross-check data shown in Spend.watch with your official bank statements

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE MAKE NO WARRANTIES ABOUT:

  • Accuracy of financial data
  • Completeness of transaction history
  • Timeliness of data updates
  • Availability or reliability of the Service
  • Fitness for any particular purpose

Financial Data and Banking

Data Access via Third-Party Provider

  • We use a third-party financial data connectivity provider to connect to your financial institutions
  • You authorize us to access your financial data through this provider
  • We have read-only access to your accounts
  • We cannot initiate transactions or move money
  • You can revoke access at any time by disconnecting accounts

Data Accuracy

  • Data shown is provided by your financial institution via the third-party provider
  • We do not guarantee accuracy, completeness, or timeliness
  • Delays in data updates may occur
  • You are responsible for verifying all information
  • Critical: Always verify with your official bank statements

Transaction Categorization

  • We use third-party AI services to automatically categorize transactions
  • Categorization is a suggestion and may be incorrect
  • You can override or customize categories
  • Do not rely on categorization for tax or accounting purposes without verification

Acceptable Use

You Agree NOT To:

  • Use the Service for any illegal purpose
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Impersonate others or provide false information
  • Share your account with others
  • Use automated tools to access the Service (scraping, bots, etc.)
  • Reverse engineer or decompile the Service
  • Use the Service for commercial purposes without authorization

Intellectual Property

Our Property

  • Spend.watch and all content, features, and functionality are owned by us
  • Our name, logo, trademarks, and branding are our property
  • You may not use our intellectual property without written permission

Your Data

  • You retain ownership of your financial data
  • You grant us a license to use your data to provide the Service
  • We may use anonymized, aggregated data for analytics and improvements
  • This license ends when you delete your account

Third-Party Services

Financial Data Provider

  • Connection to financial institutions is provided by a third-party service
  • The provider's terms and policies apply to their services
  • We are not responsible for the provider's services or any issues arising from them

AI Services

  • Categorization and pattern recognition is provided by a third-party AI service
  • The AI provider's terms apply to their services
  • We are not responsible for AI accuracy or performance

Other Services

  • We may integrate with other third-party services
  • Third-party terms and policies apply
  • We are not responsible for third-party services

Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it at https://spend.watch/privacy.

Fees and Payment

Subscription Service

Spend.watch is a paid subscription service:

  • Monthly Subscription: $4.99 per month
  • Free Trial: New users are eligible for a 7-day free trial
  • Account Limit: Up to 4 connected bank accounts per subscription
  • Payment is processed securely through Stripe

Free Trial

  • First-time users may be eligible for a 7-day free trial
  • Trial eligibility is determined at checkout
  • You will not be charged during the trial period
  • Your subscription will automatically convert to a paid subscription after the trial ends unless you cancel
  • Trial eligibility is limited to one trial per email address
  • We reserve the right to deny trial eligibility to prevent abuse

Billing

  • Subscriptions are billed monthly in advance
  • Your payment method will be charged automatically on each billing date
  • Billing occurs on the same day each month as your initial subscription or trial conversion
  • All fees are in US dollars
  • Prices are subject to change with 30 days' notice

Cancellation

  • You may cancel your subscription at any time through the billing portal
  • Cancellation takes effect at the end of your current billing period
  • You retain access to the Service until the end of your paid period
  • No prorated refunds are provided for partial months
  • After cancellation, you can still view your existing data but cannot sync new transactions or connect new accounts

Refunds

  • Refunds are generally not provided
  • If you believe you have been charged in error, contact us within 30 days
  • We may, at our discretion, provide refunds in exceptional circumstances

Failed Payments

  • If a payment fails, we will attempt to charge your payment method again
  • Your access to the Service may be suspended if payment cannot be collected
  • You are responsible for ensuring your payment information is current

Data Costs

Please note:

  • Financial Data API Costs: Each bank account connection incurs ongoing API costs
  • AI Processing Costs: AI categorization uses paid API services
  • By using the Service, you understand that your usage generates real costs for us
  • We reserve the right to limit usage or deactivate accounts that generate excessive costs

Termination

By You

  • You may delete your account at any time
  • Navigate to Settings → Delete Account
  • Your data will be deleted within 30 days

By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your account is inactive for an extended period
  • We terminate the beta program
  • Required by law
  • We cease operations

Effect of Termination

  • Your access to the Service ends immediately
  • Your data will be deleted per our retention policy
  • Provisions that should survive (warranties, limitations of liability) continue

Disclaimers

Financial Decisions

  • WE ARE NOT FINANCIAL ADVISORS
  • The Service does not provide financial advice
  • Do not make financial decisions based solely on our Service
  • Consult with qualified financial professionals for advice
  • We are not responsible for financial decisions you make

Not a Financial Institution

  • We are not a bank or financial institution
  • We do not hold, transfer, or manage your money
  • We only display information from your connected accounts

Data Accuracy

  • WE DO NOT GUARANTEE THE ACCURACY OF DATA
  • Errors may occur in transaction history, balances, categorization, or recognized patterns
  • Always verify with your official bank statements
  • Report discrepancies to your financial institution

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE ARE NOT LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
  • WE ARE NOT LIABLE FOR DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

This limitation applies even if we have been advised of the possibility of such damages.

Specific Disclaimers

We are not liable for:

  • Inaccurate financial data
  • Missed transactions or balance updates
  • Incorrect categorization
  • Data breaches by third-party service providers
  • Loss or corruption of your data
  • Downtime or service interruptions
  • Financial decisions made based on our data
  • Unauthorized access to your account due to weak passwords

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of third-party rights
  • Your financial data or transactions

Dispute Resolution

Governing Law

These Terms are governed by the laws of California, United States, without regard to conflict of law principles.

Arbitration Agreement

PLEASE READ CAREFULLY - THIS AFFECTS YOUR LEGAL RIGHTS

Any dispute arising from these Terms or the Service will be resolved through binding arbitration, not in court, except:

  • Small claims court disputes (under $10,000)
  • Intellectual property disputes
  • Injunctive relief requests

You waive your right to a jury trial and to participate in class actions.

Arbitration will be conducted by the American Arbitration Association (AAA) under their Consumer Arbitration Rules.

Exceptions to Arbitration

You may opt out of arbitration by sending written notice within 30 days of first using the Service to: travis@readyrickshaw.com.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Updating the "Last Updated" date
  • Sending an email notification
  • Displaying a notice in the application

Continued use after changes constitutes acceptance. If you don't agree to changes, you must stop using the Service.

General Provisions

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and us.

Severability

If any provision is found unenforceable, the rest of the Terms remain in effect.

No Waiver

Our failure to enforce any right or provision is not a waiver of that right.

Assignment

You may not assign your rights under these Terms. We may assign our rights to any successor or affiliate.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, pandemics, infrastructure failures, etc.).

Survival

Provisions that should survive termination (warranties, limitations of liability, indemnification) continue after termination.

Service Changes and Termination

Service Changes

  • We may modify, suspend, or discontinue any part of the Service at any time
  • We will provide at least 30 days' notice for material changes
  • Price changes will be communicated 30 days in advance
  • You may cancel your subscription if you do not accept changes

Data Export

You have the right to request an export of your data at any time while your account is active.

  • You have read and understood these Terms
  • You agree to be bound by these Terms
  • You understand this service is still in initial beta testing
  • You will continue to monitor your accounts directly
  • You will not rely solely on this Service for financial information
